Our Section 220 Law Review Article Made the Top 10 List This Week

The law review article we wrote recently on Section 220 of the Delaware General Corporation Law (DGCL), regarding the right of shareholders to books and records of a corporation, reached the Top 10 list of most downloaded articles on corporate governance from SSRN (which is a repository where one can find virtually all law review articles published in all law reviews as well as related scholarly publications). The list is updated each day, so as they say in Latin, sic transit gloria mundi, but it was a fleeting pleasure to be on the list for two consecutive days this past week.

Our article addresses how Section 220 interfaces with the expanded rights to electronically stored information (ESI), in light of the absence (surprisingly) of any Delaware case law that directly addresses the specific issue of what ESI one is entitled to when one has otherwise established a right to receive “records” under DGCL Section 220.
